Wojciech Małek

Wojciech MałekMember of the Board

In the year 2000 Mister Wojciech Małek graduated with honors from Warsaw School of Economics, where he received his Master’s Degree in economics. In 2002 he completed the ACCA course, where he passed all required exams. In 2006 he received the Certified Financial Analyst title (he suspended his participation at CFA in 2011).

Mister Wojciech Małek started his professional career in 1999 at Arthur Andersen sp. z o.o., where he held the position of the consultant in audit and economic consultancy sector to 2002. Next, over the period 2003 – 2007 he worked for Polish Energy Partners S.A. as the Financial Controller and Business Development Manager. Over the period 2007 – 2010 he held the position of the Director responsible for conducting consulting projects in the area of mergers and acquisitions at Fidea sp. z o.o. sp. k. What is more, he held the position of the Chief Financial Officer at Wakacje.pl sp. z o.o./wakacje.pl S.A. and at Comperia sp. z o.o. Over the period 2010 – 2015 he has been working at Enterprise Investors, where he held the position of the Director responsible for concluding fund investment exit transactions. Since 2015 to 2017 he has been related to the Abris Capital Partners fund and Getback S.A. company.

Szymon Fiecek

Member of the Board

Mister Szymon Fiecek, born in 1983, has a university degree. He is a graduate at the Faculty of Computer Science at the Higher School of Economics and Administration in Kielce, where he specialized in information technology systems, management.

He has been working in the IT sector since 1996, where as a freelancer he participated in numerous online projects. He started his professional career in 2006 at PCB Difin and Müller sp. z o.o. and Difin S.A., where he was responsible for maintaining and developing IT systems and websites. Over the period 2012 – 2014 he has held the position of the Vice-President of the KeepOne sp. z o.o. and SpaceDrive sp. z o.o. companies. Currently, he runs his own business in the broad field of computer science.

He is working at Comperia.pl S.A. since 2008, where he holds the position of the Chief Information Officer and since June 2016 he holds the position of the Member of the Management Board.

Marek Dojnow

Chairman of Supervisory Board

Until the moment of incorporating the FIDEA in 2005, Marek Dojnow fulfilled the functions of managing director and president of management board of ABN AMRO Corporate Finance in Poland, participating in all transactions operated by ABN AMRO Corporate Finance in Poland since 1999.

Before starting work in ABN AMRO Corporate Finance, Marek fulfilled the function of department director of Primary Market of Debentures in ABN AMRO Bank (Polska) S.A. Marek started work in ABN AMRO in 1995 and was involved in numerous domestic and foreign transactions on primary market of debentures and in strategic transactions of the Bank in Poland.

Before starting working in ABN AMRO, Marek worked almost for 3 years in Warsaw and London international office of Clifford Chance law office where he specialized in bank and capital market transactions. Earlier for a year Marek was working as Minister Assistant of Office Chief of Ministers’ Council, Jan Maria Rokita, in government run by Hanna Suchocka.

Marek completed department of law at Warsaw University. During studies Marek participated in programs within law at Le Mans University and University in Strasbourg in France. Marek uses English and French fluently. Company of Cyprus Law, FIDEA CAPITAL, holds 336 985 Existing Stocks, constituting 21,36% in Company’s share capital and entitling to execute 25,44% of total number of votes at General Stockholders’ Meeting.

Derek Alexander Christopher

Vice-Chairman of Supervisory Board

Specialist within international finance with extensive 25-year experience within management of enterprises, investments and capital markets, bookkeeping and fund management. He supervised and conducted independent analyses and investment evaluation.

For years he has been Member of many Supervisory Boards. He worked on key positions, among others, in Goldman Sachs & Co, Citigroup/Citicorp, Polsko-Amerykański Funduszu Przedsiębiorczości, Polsko-Amerykański Bank Hipoteczny and Creditanstalt-SCG Fund Management.

Education:
1986 – 1988 J.L. Kellogg School of Management (Post-graduate Department of Management), Northwestern University, Evanston, Illinois. Title of Masters of Management (Master of Business Administration) within finance and economics.

1982– 1986 WOFFORD COLLEGE, Spartanburg, Southern Carolina. Title: Bachelor of Arts (summa cum laude) within entrepreneurship and economics. Member of association: Phi Beta Kappa, awards: American Legion Award and Department of Economics.

Michał Piwowarczyk

Member of Supervisory Board

Mister Michał Piwowarczyk is a graduate of the Cass Business School, where he specialized in Finance, and the University of Bradford School of Management, where he specialized in International Trade and Management. Since 2009 he has been providing economic consultancy services for the companies, mainly in the area of strategy, raising capital, mergers and acquisitions transactions as well as equity investments.

According to the submitted statement, Mister Michał Piwowarczyk does not participate in the company or another legal entity which operates in competition with Comperia.pl S.A. as a partner or a member of the organs. Mister Michał Piwowarczyk is not listed in the Register of Debtors, provided pursuant to the Act of August 20th, 1997, on the National Court Register.

Krzysztof Mędrala

Member of Supervisory Board

Mister Krzysztof Mędrala is a graduate of the AGH University of Science and Technology in Kraków. He also completed the following postgraduate studies: Accountancy and Finances at the School of Entrepreneurship and Management at the Academy of Economics in Kraków (presently Cracow University of Economics), Personnel Management at the Faculty of Management, at the AGH University of Science and Technology in Kraków and the School of Strategic Leadership – Management Advance (Management II) Canadian International Management in Warsaw. Mister Krzysztof Mędrala holds an Executive MBA from the University of Warsaw and University of Illinois at Urbana – Chapaign in the USA.

Currently – the President of Management Board of Origin Towarzystwo Funduszy Inwestycyjnych S.A. Previously he held the position of the Vice-President of the Management Board of Money Makers TFI S.A. in Warsaw, the Country Manager of Getin Holding in Romania, the Vice-President of the Management Board of Casus Finanse S.A., the Vice-President of the Management Board of Towarzystwo Ubezpieczeń Europa S.A. and Towarzystwo Ubezpieczeń na Życie S.A., as well as the Managing Director of Alfa Bank in Kiev, the Director of the Sales and Marketing Department of HSBC Bank Polska S.A. and the Regional Director of Lukas and Lukas Bank S.A. (currently Credit Agricole Bank Polska S.A.).

According to the submitted statement, Mister Krzysztof Mędrala does not participate in the company or another legal entity which operates in competition with Comperia.pl S.A. as a partner or a member of the organs. Adam Jabłoński

Member of Supervisory Board

Mister Adam Jabłoński is a graduate of the Warsaw School of Economic, where he specialized in Finance and Banking (1993 – 1998). He also graduated from the postgraduate Studies in Company Law (2001) at the WSE College of Management and Finance, and he completed doctoral studies in economics at Warsaw School of Economic (2003 – 2005). Since 2005 Mister Adam Jabłoński has been a shareholder at Fidea sp. z o.o. – sp. komandytowa (limited partnership), the Vice-President of the Management Board of Fidea sp. z o.o., as well as the President of the Management Board of Valorum sp. z o.o. The abovementioned companies are operating in the field of strategic and transactional advice on the mergers and acquisitions market in Poland.

Over the period 1999 – 2005, Mister Adam Jabłoński has held the position of the mergers and acquisitions manager, and then the mergers and acquisitions director at ABN AMRO Corporate Finance (Poland) sp. z o.o. Over the period 1998 – 1999, Mister Adam Jabłoński has worked in the investment banking division at the Dutch head office of ABN AMRO Bank N.V. in Amsterdam, and over the period 1996 – 1998 he has worked in the corporate banking division at ABN AMRO Bank (Poland) S.A. Over the period 1994 – 1996, Mister Adam Jabłoński has worked as the financial analyst in companies of the Siemens AG Group in Poland.
